1. The Service
Keyda Business provides a hosted AI assistant ("the Bot") that answers questions from your customers using knowledge you supply — your website, documents, saved answers and business details — together with a dashboard to train and monitor it, a website widget, a shareable bot link and QR code, a WordPress plugin, and libraries for embedding the Bot in Android, iOS, React Native, Flutter and Ionic apps (together, "the Service"). The Service is operated by Keyda ("we", "our", "us").
You must be at least 18 years old and authorised to enter into this agreement on behalf of the business you register ("you", "your business"). If you register on behalf of an employer or client, you confirm you have authority to bind them.
2. Your account
You sign in with a phone number or a Google account. You are responsible for keeping access to that phone number and Google account secure, and for everything done through your account.
You may invite colleagues and assign them roles. Every member you invite can act within the permissions of their role, and you remain responsible for what they do. Remove members who should no longer have access — we cannot know when someone leaves your business.
3. Early access, plans and fees
The Service is currently in early access and free of charge. No card is required and there is nothing to cancel.
The plans published on our pricing page describe what we intend to charge when early access ends. We will email you before any charging begins, and you decide at that point whether to continue. We will not begin charging a working bot without notice.
When paid plans begin: fees are stated in Indian Rupees, are charged in advance for the billing period you choose, and are exclusive of taxes unless stated otherwise. Payments are processed by our payment provider; we do not store your card details. Cancellation and refunds are covered in our Cancellation & Refund Policy.
4. Your answer allowance
Each plan includes a number of AI-generated answers per month. An "answer" is a reply our AI produced — including a question it read and could not answer, because that consumes the same work. Replies served directly from an answer you saved yourself are not counted, and continue to work even after you reach your limit.
If you reach your monthly allowance, the Bot pauses generating new answers for the rest of that month rather than running up a bill you did not agree to. You will see this in your dashboard and can ask us to raise the limit.
We may apply reasonable technical rate limits to protect the Service, including a daily ceiling on AI-generated answers of one fifth of your monthly allowance (never fewer than 50), after which the Bot rests until the next day. These are documented in Limits and security.
5. Your content
Your content remains yours. Your website text, documents, saved answers, business details and your customers' conversations with your Bot belong to you. You grant us only the licence needed to host, index and process that content in order to operate the Service for you — and for nothing else.
You confirm that you have the right to supply the content you upload, and that it does not infringe anyone's rights.
We do not train shared or general-purpose models on your content. Your content improves your Bot only. We do not mix your knowledge with another business's, and nothing from the Keyda keyboard product reaches your Bot or vice versa.
6. Your customers' data
When your customers chat with your Bot, those conversations are your business record. In data protection terms you are the controller and we are your processor. Our obligations as processor are set out in our Data Processing Agreement, which forms part of these terms and applies automatically — you do not need to sign anything separately for it to apply.
You are responsible for telling your customers that they are talking to an automated assistant and for having a lawful basis for the data you collect through it.
7. Acceptable use
You must not use the Service to:
- impersonate another business, person or public body;
- publish content that is unlawful, defamatory, hateful, or that harasses or endangers anyone;
- give medical, legal, financial or other professional advice that requires a qualified human, without appropriate human oversight and disclosure;
- collect payment card numbers, passwords, government identifiers or other sensitive credentials through the Bot;
- upload content you do not have the right to use, or personal data you have no lawful basis to process;
- attempt to extract our prompts or models, resell the Service as your own AI platform, or circumvent limits, metering or access controls;
- send automated traffic to the Bot that is not a genuine customer conversation.
We may suspend a Bot that we reasonably believe is being used this way. Where the issue is not an emergency we will contact you first.
8. What AI can and cannot do
The Bot generates answers from the knowledge you give it. Like all such systems it can be wrong, incomplete or confidently mistaken, and it may not reflect changes you have not yet made to your sources.
You are responsible for what your Bot tells your customers. Before going live, test it on the questions your customers actually ask. For anything that must be exactly right — prices, hours, policies, safety information — use saved answers, which are served verbatim rather than generated. The dashboard's unanswered list exists so you can correct the Bot as real questions arrive.
9. Availability and changes
We aim to keep the Service available and to give notice before disruptive changes, but during early access we do not offer a service level guarantee. Response commitments on the Scale plan, where offered, are stated in writing.
The Service depends on third-party AI providers. If a provider fails we fall back to another where we can, but an answer may be delayed or unavailable.
We may change these terms. If a change materially affects your rights we will give notice by email or in the dashboard before it takes effect. Continuing to use the Service after that means you accept the change.
10. Suspension and termination
You may stop using the Service at any time and delete your business from the dashboard. Deleting a business permanently removes its sources, saved answers, conversations and the assistant itself. That is not recoverable, which is the point — export anything you need first.
We may suspend or terminate an account that breaches these terms, that we are legally required to act on, or that poses a security risk to others. Except where the law requires otherwise or the breach is severe, we will tell you why and give you a chance to fix it.
11. Liability
Nothing in these terms limits liability that cannot be limited by law — including for fraud, or for death or personal injury caused by negligence.
Subject to that: the Service is provided "as is"; we exclude implied warranties to the extent the law allows; we are not liable for indirect or consequential loss, lost profits, lost business or lost data; and our total liability arising out of or in connection with the Service in any twelve-month period is limited to the greater of the fees you paid us in the twelve months before the claim, or ₹10,000.
During early access, when you pay us nothing, that cap is ₹10,000.
12. Indemnity
You will indemnify us against claims brought by a third party arising from content you supplied, from your use of the Service in breach of section 7, or from your failure to meet your own obligations as data controller.
13. General
These terms, together with the Data Processing Agreement, the Privacy Policy and the Cancellation & Refund Policy, are the whole agreement between us about the Service.
If any part is found unenforceable, the rest continues to apply. Our not enforcing a term is not a waiver of it. You may not assign this agreement without our consent; we may assign it to a successor to our business.
These terms are governed by the laws of India, and the courts of Bengaluru, Karnataka have exclusive jurisdiction over disputes arising from them.
