Terms & Conditions

By installing or using Keyda, you agree to these terms. If you do not agree, do not use the Service. You must be at least 13 years old (and have parental consent if under 18) to use Keyda.

1. The Service

Keyda provides a keyboard application for iOS, iPadOS and Android, together with a Keyda app for Mac and a Keyda browser extension, that offers AI-assisted writing tools, voice typing and a voice assistant (speech-to-text and voice commands), on-device language and image models (on eligible plans), notes, documents and sketches, notes and document sharing, shared AI chat sessions (up to 100 members), stickers, clipboard utilities, optional connections to third-party work tools (GitHub, Linear, Jira — see section 9), and related features (the "Service"). The Service is operated by Keyda ("we", "our", "us"). The Mac app additionally offers an optional, off-by-default "System-wide Writing Check" that, only after you enable it and grant macOS Accessibility permission, checks spelling in the text field you are focused on in other apps; it runs on your device, skips password fields, and can be turned off or its permission revoked at any time (see our Privacy Policy, section 2.11). Voice transcription is provided through your device's operating-system speech-recognition service (e.g. Apple Speech Recognition); the accuracy and availability of that recognition are outside our control. On iOS, Apple's platform rules do not allow a keyboard extension to access the microphone, so voice recording is performed by the Keyda application and the transcribed text is returned to the keyboard; this hand-off is mandated by the operating system and its behaviour (including the brief app switch) is outside our control.

2. Your account

To use most features you must sign in. You agree to provide accurate information and keep your credentials secure. You are responsible for all activity that occurs under your account. We may suspend or terminate accounts that violate these terms or that we reasonably believe are being misused.

You may stop using Keyda at any time and may request account deletion by contacting support@keyda.in. Deletion is handled as described in the Privacy Policy and may not cancel an active Apple App Store or Google Play subscription; you must cancel renewal through the store subscription settings.

3. Free trial

Keyda offers a one-time, opt-in free trial that unlocks Pro-tier features for a limited window. The trial does not auto-start; you must tap "Start Free Trial" inside the app.

  • Duration: the trial ends after 3 calendar days or after you make 100 AI calls — whichever happens first.
  • No payment: we do not collect card details to start the trial. You will not be charged at any point unless you explicitly purchase a paid plan.
  • What's unlocked: all Pro features (Keyda's AI key, higher quotas, on-device models, image generation, smart reply, AI memory, profile-aware AI).
  • BYOK during trial: you can flip "Use my own API key" in Settings to route trial calls through your own provider instead — your remaining trial AI uses are preserved for later.
  • After the trial: when the trial expires you drop to a no-plan state. Keyda's own AI pool, on-device models, image generation, shared-chat AI replies and connected-workspace features (GitHub, Linear, Jira) stop until you buy a plan. Bringing your own API key continues to work at no cost — see section 4.
  • Eligibility: one trial per user account. Re-installing the app or signing in on another device does not reset the trial.

4. Subscription plans & payment

Keyda offers two subscription tiers. Pro additionally has a yearly billing option that saves roughly 50% versus monthly.

No plan (free account). Bringing your own provider API key ("BYOK") requires no paid plan and no trial: you may connect your own OpenAI, Claude, Gemini, Groq or xAI key on a free account and use Keyda's AI writing tools, in-app assistant and image generation with it. Those calls are made by the app directly to the provider you chose, on your own account and quota, and are billed to you by that provider — Keyda charges nothing for them and does not meter them.

What a paid plan (or the trial) adds is everything that runs on our infrastructure and our keys: Keyda's own AI pool (no key needed), on-device language and image models, AI replies inside shared chat sessions, cloud voice transcription, and connected-workspace answers from GitHub, Linear and Jira. Those features remain unavailable on a free account, with or without your own key, because they are performed on Keyda's servers rather than on your device. The keyboard's typing, themes, language toggles, notes, sketches and clipboard continue to work on any account.

Image-generation allowances. Generating an image costs far more to serve than a text request, so it has its own allowance, separate from the daily request caps:

  • Lite — 25 images per calendar month. Pro — 50 images per calendar month. The allowance resets at the start of each calendar month (IST). Unused images do not carry over, have no cash value, and cannot be transferred, sold or exchanged for cash.
  • Free trial — 5 images for the whole trial, not 5 per month. A trial that spans a month boundary does not receive a second allocation.
  • Free accounts. Image generation on Keyda's infrastructure requires a paid plan or an active trial. On a free account you can still generate images with your own provider key (BYOK), billed to you by that provider and not metered by us.
  • Failed generations. A generation that fails before an image is produced does not count against your allowance. One that succeeds does count, including where you dislike the result. Model output is probabilistic: we cannot guarantee any particular image, style, subject or likeness, and dissatisfaction with an output is not by itself grounds for a refund.
  • Fair use. Allowances are for ordinary personal or business use by one account holder. Automated, scripted or bulk generation, account sharing, and reselling generation capacity are not permitted and may lead to suspension under section 7.
  • Changes. We may adjust these allowances for future billing periods. Any reduction takes effect from your next renewal and never retroactively to a period you have already paid for.

Billing. Subscriptions are normally sold and charged through the Apple App Store (on iOS) and Google Play (on Android), using the payment method on file with your Apple Account or Google account. Apple and Google act as the merchant of record for these purchases and set the exact charge for your region using their pricing tiers; the INR figures above are indicative, and the localised price shown at checkout in the store governs.

Web checkout (keyda.in/subscribe). While Android in-app billing is being enabled for all users, Keyda also offers a one-time period purchase directly on our website at keyda.in/subscribe, processed by our payment partner Razorpay. A web-checkout purchase is a single, non-recurring payment for one billing period (one month or one year) — it does not auto-renew, and Keyda (not Apple or Google) is the merchant of record for that transaction. To keep it working, your Lite/Pro access simply expires at the end of the period you paid for unless you buy another period; there is no subscription to "cancel." You may end up with entitlements from more than one billing source (e.g. a web-checkout period plus an App Store subscription) — the highest tier you hold at any given moment is the one that applies.

Taxes. Applicable taxes (such as GST or VAT) are calculated, collected and remitted by Apple, Google, or (for web checkout) Razorpay/Keyda through the applicable billing system and are reflected in the price shown at checkout. Where any tax is not handled by the payment processor and is required by law, you remain responsible for it.

Refunds. For App Store and Google Play purchases, refunds are handled by Apple or Google under their respective policies — we cannot charge, refund, or reverse a store transaction on your behalf. For web-checkout (Razorpay) purchases, refund requests are handled directly by Keyda — see our Refund Policy for how to request one from each channel.

Chargebacks and payment disputes. If you initiate a payment dispute or chargeback without first contacting support@keyda.in in good faith, we reserve the right to suspend your account, recover any disputed amounts, and decline future service.

Auto-renewing subscription. Keyda subscriptions are auto-renewable. Payment is charged to your Apple Account or Google account at confirmation of purchase, and the subscription automatically renews for the same period (monthly or yearly) at the then-current price unless you turn off auto-renew at least 24 hours before the end of the current period. Your account is charged for renewal within the 24 hours before the period ends. You can manage your subscription and turn off auto-renew at any time in your device's subscription settings (iOS: Settings → your name → Subscriptions; Android: Google Play → Subscriptions). Cancelling stops future renewals; you keep access until the end of the period you have already paid for.

Pricing changes. We may change prices at any time. A new price applies only to renewals that occur after it takes effect and, where the store requires, after Apple or Google notifies you and obtains any consent they require — never retroactively. If you do not accept a new renewal price, turn off auto-renew before it applies.

Store and platform terms. Your use of Keyda is also subject to the Apple App Store, Google Play, iOS, Android, and device terms that apply to you. For iOS users, Apple is not responsible for providing support or maintenance for Keyda, but Apple and its subsidiaries are intended third-party beneficiaries of these terms for the limited purpose of enforcing the terms against you as they relate to the iOS app. If store billing, refund, cancellation, or subscription-management rules conflict with these terms, the store rules control for that transaction.

5. Bring-Your-Own-Key (BYOK) usage

If you choose to use your own AI provider API key (Groq, OpenAI, Anthropic, Google, xAI or others we support), you are solely responsible for:

  • Compliance with that provider's terms of service.
  • All usage charges billed by that provider — Keyda does not bill or markup those charges.
  • Keeping your key valid; the Service cannot guarantee uptime of third-party AI APIs.

We store your BYOK key encrypted (AES-256-GCM) and use it only to forward requests to the provider you selected. You may remove your key at any time from the in-app settings.

Lite and Pro users with BYOK. Lite and Pro subscribers can optionally route AI calls through their own key instead of Keyda's pool — toggle it in Settings → Cloud AI. Your subscription stays active either way, and BYOK usage does not count toward the daily request quota.

6. AI Memory & Profile-aware AI

Keyda includes two opt-in features that help the AI sound more like you. Both are off by default, both store data locally on your device, and both can be wiped from Settings at any time.

  • AI Memory. When enabled, Keyda saves each prompt + response per text field in an on-device SQLite database (App Group container, never uploaded). A short rolling summary of older turns is prepended to subsequent AI calls so the model stays coherent across a long chat. Entries older than 30 days are auto-pruned. "Forget everything" in Settings drops the whole database in one tap.
  • Profile bio. The bio you enter on the Profile page is appended to AI prompts to personalise replies (tone, language, register). The bio is stored locally and is only transmitted to the AI provider as part of a prompt when you actively trigger an AI call.
  • Personal Reply (clipboard / long-press AI). When you copy a message you received and tap the response button, the AI replies in your first-person voice rather than as an AI. The clipboard text is sent to the model as the conversation it should reply to — it is not retained beyond that single request.

7. Acceptable use

You agree not to use the Service to:

  • Generate, transmit, or share content that is illegal, infringing, defamatory, harassing, sexually explicit involving minors, or that promotes violence, terrorism, self-harm or hate.
  • Send automated requests, scrape, mine, mirror, or otherwise abuse the API or Service beyond reasonable personal use; circumvent rate limits, quotas, or anti-abuse measures.
  • Attempt to reverse engineer, decompile, disassemble, or extract source code, model weights, prompts, embeddings or training data from the application or our servers (except to the extent such restriction is expressly prohibited by applicable law).
  • Resell, sublicense, rent, lease, white-label or expose the Service to third parties without our prior written consent.
  • Use the Service to build a competing product, train another AI model, or generate datasets for sale or distribution.
  • Connect a GitHub, Linear or Jira workspace you are not entitled to authorise, or use a connection to access, extract or redistribute data you are not permitted to see or disclose.
  • Share, sell or distribute your account credentials, BYOK keys, or trial allowances; create multiple accounts to evade limits, abuse the free trial, or evade a suspension.
  • In a shared AI session, share another participant's messages or identity outside that session without their consent, or use the session to harass, impersonate, or collect data about other participants.
  • Use the Service for any activity that misrepresents AI-generated content as human-authored where such misrepresentation is illegal or violates a third party's terms.
  • In Image Studio: generate or attempt to generate sexual content involving minors; non-consensual intimate or nude imagery of any real person; imagery of a real, identifiable person presented as real in order to deceive (including political or electoral deepfakes); forged identity, financial or official documents; or content designed to harass, defame or impersonate someone.
  • Upload a reference image you do not own or otherwise have the right to use, or that contains another person's likeness without their consent.
  • Present a generated image as an unaltered photograph of a real event or person where doing so is illegal, or where a law, platform or contract requires AI-generated media to be disclosed as such.
  • Use the Service to violate any applicable law, including export controls, sanctions, intellectual-property and data-protection laws.
  • Use the Service if you are located in, ordinarily reside in, or are a national of a country subject to comprehensive Indian, U.S. or U.N. sanctions, or if you are on any applicable restricted-party list.

We may, at our sole discretion and without prior notice, suspend, throttle, restrict or terminate accounts engaged in or reasonably suspected of prohibited activity; remove offending content; recover damages; and report serious violations to relevant authorities. Suspensions related to fraud or abuse do not entitle you to a refund.

8. Intellectual property

The Service, including its software, design, content and trademarks, is owned by Keyda or our licensors and is protected by applicable IP laws. We grant you a personal, non-exclusive, non-transferable, revocable licence to use the Service per these terms.

You retain ownership of content you create with the Service (notes, stickers, drafted text). By submitting prompts to AI providers through the Service you grant us a non-exclusive licence to process those prompts and store the resulting outputs for the duration described in the Privacy Policy.

Images you generate. As between you and Keyda, you own the images you create with Image Studio and may use them personally or commercially, subject to these terms and to the terms of the model provider that produced them (see section 9). Two limits are inherent to how generative models work and are not within our control. First, the model may produce similar output for another user from a similar prompt, so we cannot promise that any image is unique, nor that it is registrable or enforceable as your intellectual property — in several jurisdictions, material generated without sufficient human authorship may not attract copyright at all. Second, an output may unintentionally resemble an existing work, trademark or person; you are responsible for checking that your use of an image is lawful in your jurisdiction and does not infringe anyone's rights. You retain ownership of any reference image you upload, and grant us only the non-exclusive licence needed to transmit it to the model provider, produce your image and store the result for you.

9. Third-party services & connected workspaces

The Service relies on third-party providers (Apple, Google, Razorpay for web checkout, AI providers, hosting). Their availability and terms are outside our control. We are not liable for outages, content moderation decisions, or pricing changes by those parties.

Image generation. Image Studio is served by a third-party model-hosting provider running a licensed image model on our behalf. Your prompt and any reference image are transmitted to that provider to produce your image, as described in the Privacy Policy. Your use of the feature is therefore also subject to that provider's and the model owner's acceptable-use and content policies, which may refuse or filter certain prompts independently of us. A refusal, filter or moderation decision by that provider is not a fault in the Service and does not entitle you to a refund, though a request that produces no image does not consume your allowance. We may change the underlying model or provider at any time to maintain or improve the feature; output style and quality may change as a result.

9.1 Connecting a GitHub, Linear or Jira account

Keyda lets you optionally connect a GitHub, Linear or Jira account so the assistant can answer questions about your work. Connecting is entirely voluntary, requires you to authorise it explicitly in Settings → Integrations, and can be undone there at any time. If you connect one:

  • You must be entitled to grant that access. You confirm that the account you connect is yours to authorise, and that connecting it does not breach your employer's or workspace owner's policies, your agreement with that provider, or any confidentiality obligation you owe. Where the workspace belongs to an organisation, you are responsible for obtaining any approval that organisation requires.
  • Scope of access. Keyda reads only what the account you connected can already see, and only at the moment you ask a question that relates to it. Linear and Jira connections are read-only. On GitHub, Keyda performs write actions only when you explicitly trigger them — posting the results of an AI code review you requested, and merging a pull request when you tap Merge. What is read and how it is handled is described in our Privacy Policy, section 2.13.
  • Work data is sent to AI providers. To answer your question, the work items Keyda reads are included in the request sent to the AI provider serving that request. Do not connect a workspace whose contents you are not permitted to disclose to a third-party AI provider. The AI-output disclaimer in section 10 applies fully to answers about your workspace.
  • Their terms still apply. Your use of GitHub, Linear and Atlassian (Jira) remains governed by your agreement with each of them. We are not responsible for their availability, rate limits, API changes, data accuracy, or any action they take on your account. If a provider changes or withdraws its API, the corresponding Keyda feature may stop working without notice.
  • Accuracy. Answers about your workspace are generated by an AI model from data fetched at that moment. They may be incomplete, out of date, or wrong — for example if a request to that provider fails, is rate-limited, or returns only part of your data. Do not rely on Keyda as a system of record; confirm anything important in the provider's own interface.
  • Disconnecting. Disconnecting in Settings → Integrations deletes the credential Keyda stores. To withdraw access on the provider's side as well, revoke Keyda in that provider's own account settings.

10. Disclaimers

The Service is provided "AS IS" and "AS AVAILABLE", without warranties of any kind, express, implied, statutory or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement and uninterrupted operation. We make no warranty that the Service will be uninterrupted, error-free, secure, free from harmful components, or that it will meet your specific requirements.

AI output disclaimer. AI-generated content may contain errors, omissions, hallucinations, biased outputs, or factually incorrect statements. Outputs are statistical predictions, not statements of fact. You are solely responsible for reviewing, verifying, and editing AI outputs before sending, publishing, relying on them, or sharing them. You acknowledge that identical prompts may yield different outputs and that outputs may unintentionally resemble third-party content.

No professional advice. The Service does not provide medical, legal, financial, tax, mental-health, safety-critical, or other professional advice. AI outputs must not be used as a substitute for consultation with a qualified professional. Do not use the Service to make safety-critical, life-critical, or high-stakes decisions.

Beta and experimental features. We may label certain features as "beta", "preview", "experimental", or similar. Such features are provided without any guarantee of availability, performance, accuracy or continued support, and may be modified, suspended or withdrawn at any time without notice and without liability to you.

11. Limitation of liability

To the maximum extent permitted by applicable law, in no event shall Keyda, its affiliates, officers, directors, employees, agents, suppliers or licensors be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, including but not limited to lost profits, lost revenue, lost data, loss of goodwill, business interruption, procurement of substitute services, or other intangible losses, even if we have been advised of the possibility of such damages.

To the maximum extent permitted by applicable law, Keyda's aggregate total liability to you for all claims, in contract, tort (including negligence), strict liability or otherwise, arising out of or related to the Service or these terms, shall not exceed the greater of (a) the amount you actually paid us in the three (3) months immediately preceding the event giving rise to the claim, or (b) INR 1,000.

These limitations apply regardless of the legal theory and apply to the fullest extent permitted, even if any limited remedy fails of its essential purpose. Nothing in this section limits liability that cannot be limited by applicable law (such as for gross negligence, fraud, or willful misconduct where the law forbids such limitation, or your statutory consumer rights).

12. Indemnity

You agree to defend, indemnify and hold harmless Keyda, its affiliates, officers, directors, employees and agents from and against any and all claims, demands, damages, losses, liabilities, costs and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use or misuse of the Service; (b) your violation of these terms or any applicable law; (c) your violation of any third-party right (including IP, privacy or publicity rights); (d) any content you submit, generate, publish or distribute via the Service; or (e) any dispute between you and another user or any third party.

13. Termination

You can stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these terms or if continued provision becomes commercially unviable. Sections that by their nature should survive termination (intellectual property, disclaimers, limitation of liability, indemnity, governing law) will survive.

14. Governing law & disputes

These terms are governed by the laws of India. Subject to applicable consumer-protection laws, the courts of Bengaluru, Karnataka have exclusive jurisdiction over disputes arising from these terms. Nothing in this clause restricts your statutory rights as a consumer.

15. Changes to these terms

We may update these terms at any time. Material changes will be announced in-app and on this page; non-material changes (typo fixes, clarifications, contact-info updates) may be made without notice. Your continued use of the Service after a change takes effect means you accept the updated terms. The "Last updated" date at the top reflects the current version. If you do not agree to a change, you must stop using the Service.

16. Force majeure

We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, civil unrest, government action, sanctions, labour disputes, internet or telecommunications outages, failures of cloud or AI-provider infrastructure, denial-of-service attacks, or other force-majeure events. Such delays do not constitute a breach and do not entitle you to a refund or other compensation beyond what is required by applicable law.

17. Notices and electronic communications

Notices to you. We may send notices via email to the address associated with your account, in-app messages, or by posting on this website. You consent to receive electronic communications from us, and you agree that such electronic communications satisfy any legal requirement that such communications be in writing.

Notices to us. All legal notices to Keyda must be sent in English by email to support@keyda.in with the subject line "Legal Notice — [topic]". Notices are deemed received on the next business day in India. You are responsible for keeping your contact details current; we are not responsible for notices missed because your contact information was out of date.

18. Intellectual-property complaints

If you believe content available through the Service infringes your copyright, trademark or other IP right, please send a written notice to support@keyda.in including: (a) your contact details and authority to act for the rights-holder; (b) identification of the work claimed to be infringed; (c) identification of the allegedly infringing material with sufficient detail to locate it; (d) a statement of good-faith belief that the use is not authorised; (e) a statement under penalty of perjury that the information is accurate; and (f) your physical or electronic signature. We will review valid notices and may, at our discretion, remove or disable access to material and terminate repeat-infringer accounts.

19. Severability, waiver, assignment, entire agreement

Severability. If any provision of these terms is held invalid, illegal or unenforceable by a court of competent jurisdiction, that provision will be enforced to the maximum extent permitted and the remaining provisions will continue in full force and effect.

Waiver. Our failure or delay in exercising any right under these terms is not a waiver of that right. No waiver is effective unless made in writing and signed by us.

Assignment. You may not assign, transfer or delegate these terms or any rights or obligations under them, in whole or in part, by operation of law or otherwise, without our prior written consent; any attempted assignment in violation of this clause is void. We may freely assign, transfer or delegate these terms — in whole or in part — including in connection with a merger, acquisition, restructuring, financing or sale of assets.

Relationship. Nothing in these terms creates a partnership, joint venture, agency, fiduciary or employment relationship between you and Keyda. No third party is intended to be a beneficiary of these terms.

Entire agreement. These terms, together with the Privacy Policy, Refund Policy and any in-app disclosures, constitute the entire agreement between you and Keyda regarding the Service and supersede all prior agreements, communications and proposals on the subject. If there is a conflict between these terms and another document, these terms control unless that other document expressly states otherwise.

Survival. Sections that by their nature should survive termination — including but not limited to Sections 5 (BYOK), 7 (Acceptable use), 8 (IP), 10 (Disclaimers), 11 (Limitation of liability), 12 (Indemnity), 14 (Governing law & disputes), 16 (Force majeure), 17 (Notices), 18 (IP complaints) and this Section 19 — will survive termination of these terms or your account.
